Terms of Service — Omnythic AI

1. Agreement

By creating an account or using Omnythic AI Services ("Omnythic", "Service"), you agree to these Terms. If you accept on behalf of a business, you confirm you have authority to bind that business.

2. The service

Omnythic provides software for automotive dealerships including an AI assistant, SMS/email outreach, inventory management, and CRM connectors. Features and pricing may change with notice.

3. Your responsibilities

Provide accurate registration information and keep credentials secure.
Obtain valid express written consent before texting any customer through Omnythic, in compliance with TCPA and CTIA guidelines.
Honor opt-out requests immediately. Omnythic automatically processes STOP keywords; you must not bypass this.
Comply with CAN-SPAM for email outreach (truthful subject lines, working unsubscribe).
Do not use Omnythic for prohibited content (SHAFT — Sex, Hate, Alcohol, Firearms, Tobacco — beyond your licensed dealership scope; illegal goods; harassment).
You are the data controller of your customer data; Omnythic is the data processor.

4. Billing

Subscriptions are billed monthly or annually via Stripe. A 14-day trial is included unless otherwise noted. Fees are non-refundable except where required by law. Failed payments may result in service suspension after 7 days. Cancel anytime from Billing; access continues through the paid period.

5. Third-party costs

Twilio SMS charges, carrier fees (including 10DLC), and any external API costs are billed by those providers directly to you. Omnythic is not responsible for third-party pricing changes.

6. Acceptable use

You may not: reverse-engineer the Service, scrape it at high volume, share credentials, use it to spam, attempt to gain unauthorized access, or circumvent security/rate limits. We may suspend accounts that violate these terms.

7. Intellectual property

Omnythic retains all rights to the Service. You retain ownership of your customer data and content. You grant Omnythic a limited license to process that data solely to provide the Service.

8. Confidentiality

Each party will protect the other's confidential information with the same care it uses for its own (no less than reasonable care).

9. Warranties & disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. LUMEN DISCLAIMS ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AI-GENERATED RESPONSES MAY BE INACCURATE; YOU ARE RESPONSIBLE FOR REVIEWING OUTBOUND CONTENT.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LUMEN'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE IS LIMITED TO THE FEES YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM. LUMEN IS NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA.

11. Indemnification

You will indemnify Omnythic against claims arising from your customer data, your messaging practices, or your violation of these Terms or applicable law (including TCPA).

12. Termination

Either party may terminate for convenience with 30 days' notice, or immediately for material breach. Upon termination, you may export your data for 30 days; afterward, data may be permanently deleted.

13. Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. Disputes will be resolved in the state or federal courts located in Delaware.

14. Changes

We may update these Terms. Material changes will be notified at least 14 days in advance. Continued use after the effective date constitutes acceptance.
